Acceptance of These Terms

These Terms of Service (“Terms”) govern your access to and use of the Mutin website, services, and related communications (collectively, the “Services”) provided by Mutin (“Mutin,” “we,” “us,” or “our”).

By accessing our website, contacting us about our Services, requesting or purchasing our Services, or otherwise engaging with Mutin, you agree to these Terms. If you do not agree to these Terms, you should not use our Services.

If you are entering into an agreement with Mutin on behalf of a business, organization, or other entity, you represent that you have authority to bind that entity to these Terms.

Our Services

Mutin provides technology and online services that may include, but are not limited to:

Internet Archive, Archive.Today, and digital-content preservation;
Website and online-content preservation;
Social-media and other digital-content preservation;
Online community creation and management;
Discord server and setup, administration, and moderation;
Subreddit creation, administration, and management;
Other technology, digital, online-community, or related services agreed upon with a customer.

The specific Services provided to a customer, their scope, price, timeframe, and other requirements may be established through a written quote, proposal, invoice, email, service agreement, or other written communication between Mutin and the customer.

Mutin may add, modify, suspend, or discontinue Services at any time.

Service Requests and Custom Work

Many Mutin Services are customized for individual customers.

A customer may contact Mutin through our website, email, telephone, Discord, or another communication method we make available. Customers should provide accurate and sufficient information about the requested work.

Before beginning custom work, Mutin may provide a quote, estimate, proposal, or other description of the requested Services.

A service request is not necessarily accepted merely because it has been submitted. Mutin may decline a request for any lawful reason.

Prices and Payment

Prices for Services will be communicated to the customer before work begins whenever reasonably possible.

Mutin may use third-party payment processors, including PayPal, to process payments. Payment processing may be subject to the payment provider’s own terms and policies.

Unless otherwise agreed in writing, payment may be required before Mutin begins work.

Customers are responsible for providing accurate billing and payment information.

If a payment is reversed, disputed, declined, or otherwise not successfully completed, Mutin may suspend or stop the applicable Services.

Quotes and Estimates

Quotes and estimates are based on the information available to Mutin when they are provided.

Unless a quote states otherwise, a quote may expire after the period specified by Mutin or may be changed if the scope of the requested work changes.

Additional work requested by a customer may result in additional charges.

Mutin will attempt to communicate material changes in scope or price before performing additional chargeable work.

Customer Responsibilities

Customers are responsible for:

Providing accurate information and materials necessary to perform the Services;
Having the necessary rights, permissions, and authority to provide content to Mutin;
Maintaining access to accounts or services that Mutin needs to perform the requested work;
Following the rules and terms of third-party platforms used in connection with the Services;
Reviewing information supplied by Mutin when approval or confirmation is requested; and
Using the Services lawfully.

Customers must not ask Mutin to perform work that violates applicable law, third-party platform rules, intellectual-property rights, privacy rights, or other people’s rights.

Customer Content

“Customer Content” means content, files, information, accounts, websites, social-media content, videos, images, text, data, or other materials supplied by or on behalf of a customer.

The customer retains ownership of its Customer Content unless otherwise agreed in writing.

By providing Customer Content to Mutin, you grant Mutin the permissions reasonably necessary to provide the requested Services.

You represent that you have the necessary rights and permissions to provide the Customer Content and authorize Mutin to use it for the requested Services.

Mutin does not claim ownership of Customer Content merely because Mutin provides Services involving that content.

Content Preservation and Third-Party Platforms

Some Mutin Services involve third-party platforms and services, including the Internet Archive, Archive.Today, Discord, Reddit, social-media platforms, website providers, and other online services.

Mutin does not control third-party platforms and cannot guarantee that content will remain available, unchanged, publicly accessible, or retrievable from those platforms.

For preservation Services, Mutin will make reasonable efforts to perform the requested preservation work, but cannot guarantee that every item of content can be successfully preserved.

Third-party platforms may independently remove, restrict, modify, or otherwise affect content or accounts.

Online Communities

When Mutin creates, manages, administers, or moderates an online community for a customer, the customer remains responsible for the underlying community, its purpose, and compliance with applicable laws and third-party platform rules unless otherwise agreed in writing.

Mutin may establish or recommend moderation rules and procedures as part of its Services.

Mutin cannot guarantee that an online community will never experience abuse, spam, harassment, malicious activity, platform enforcement, or other problems and violations.

Prohibited Uses

You may not use Mutin’s Services to:

Violate applicable law or regulation;
Infringe or misappropriate another person’s intellectual-property rights;
Violate another person’s privacy or other legal rights;
Facilitate fraud, scams, or other unlawful activity;
Circumvent security measures or access controls without authorization;
Submit content that you do not have the right to provide to Mutin;
Request Mutin to perform unlawful or prohibited activity; or
Interfere with the operation or security of Mutin’s website or Services.

Mutin may refuse or discontinue Services that we reasonably believe involve prohibited activity.

Third-Party Services

Mutin may use or interact with third-party services to provide its Services.

Third-party services may include, depending on the Service:

Internet Archive;
Archive.Today;
Discord;
Reddit;
Social-media platforms;
PayPal;
Website, hosting, domain, communications, and business-service providers; and
Other third-party services.

Third-party services have their own terms, policies, availability, and limitations. Mutin is not responsible for the independent actions, policies, availability, or performance of third-party services.

Fourthwall Store and Purchases

Mutin may use Fourthwall, Inc. (“Fourthwall”) to operate and provide certain portions of the Mutin online store, including the sale of physical products, digital products, memberships, and related services.

Purchases of Products and Memberships made through Mutin’s Fourthwall-powered store are transactions between you and Fourthwall and are subject to Fourthwall’s applicable terms, policies, return and refund policies, and other consumer-facing requirements. Fourthwall is the seller of Products and Memberships sold through the Fourthwall-powered store.

Mutin may design, designate, describe, or provide certain Products and Membership benefits offered through the store. Mutin remains responsible for providing any Membership benefits that it advertises and for content or services that Mutin provides directly.

Fourthwall may be responsible for payment processing, order fulfillment, shipping, returns, refunds, cancellations, and applicable taxes for Products sold through its platform, subject to Fourthwall’s current terms and policies. Mutin does not control all aspects of transactions processed through Fourthwall.

Your use of Fourthwall’s services and purchases made through a Fourthwall-powered store may also be subject to Fourthwall’s own Terms of Service, Merchandise Terms of Service, Privacy Policy, and other applicable policies. Where applicable, those terms govern your relationship with Fourthwall.

Mutin’s Website Terms of Service govern your use of Mutin’s website and services that are provided directly by Mutin. Nothing in these Terms is intended to modify, replace, or conflict with Fourthwall’s terms or policies applicable to purchases made through Fourthwall.

Fourthwall may change, suspend, or discontinue features of its platform. Mutin is not responsible for interruptions, changes, or discontinuation of services controlled by Fourthwall.

Intellectual Property

Except for Customer Content and third-party materials, Mutin and its licensors retain rights in Mutin’s website, branding, logos, original materials, software, designs, documentation, and other materials created or provided by Mutin.

You may not reproduce, modify, distribute, sell, or otherwise exploit Mutin’s intellectual property without authorization.

Nothing in these Terms transfers ownership of Mutin’s intellectual property to a customer unless expressly agreed in writing.

Privacy

Our collection and use of personal information is described in our Privacy Policy.

Our Privacy Policy is incorporated into these Terms by reference to the extent applicable.

Communications

By contacting Mutin or requesting Services, you may communicate with us through email, telephone, website forms, Discord, or other communication methods we make available.

You are responsible for providing accurate contact information and checking communications relating to your requested Services.

Cancellations and Refunds

Cancellation and refund terms may depend on the particular Service, the stage of work, and the terms communicated to the customer before purchase.

Unless otherwise agreed in writing, Mutin may be unable to provide a full refund for work that has already been performed or costs that Mutin has already incurred on the customer’s behalf.

Any applicable refund will be handled in accordance with the applicable service agreement, invoice, quote, or other written terms.

Service Availability

Mutin does not guarantee that its website or Services will always be available, uninterrupted, secure, or error-free.

Mutin may temporarily suspend Services for maintenance, security, technical issues, circumstances beyond our control, or other legitimate reasons.

Disclaimers

To the maximum extent permitted by applicable law, Mutin provides its website and Services on an “as is” and “as available” basis.

Mutin does not guarantee that the Services will produce a particular business, financial, audience, preservation, community, or other result unless a specific result is expressly guaranteed in a written agreement.

Mutin does not guarantee the continued availability of content, accounts, websites, communities, or other materials hosted or controlled by third parties.

Limitation of Liability

To the maximum extent permitted by applicable law, Mutin and its owners, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the use of our website or Services.

To the maximum extent permitted by applicable law, Mutin’s total liability arising from a particular Service will not exceed the amount the customer paid to Mutin for that Service.

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law.

19. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Mutin and its owners, employees, contractors, and service providers from claims, liabilities, damages, losses, and expenses arising from:

Your violation of these Terms;
Your unlawful use of the Services;
Your Customer Content;
Your violation of another person’s rights; or
Your failure to obtain necessary rights or permissions for materials you provide to Mutin.

20. Changes to These Terms

Mutin may update these Terms from time to time.

When we make changes, we will update the “Last Updated” date at the beginning of these Terms. Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.

21. Termination

Mutin may suspend or terminate a customer’s access to Services if the customer violates these Terms, fails to pay for Services, requests prohibited activity, or otherwise creates a legal, security, or operational concern.

Customers may stop using Mutin’s Services at any time, subject to obligations arising from Services already requested, purchased, or performed.

22. Governing Law

These Terms will be governed by the laws of the State of California, without regard to its conflict-of-law principles, except where applicable law requires otherwise.

Any dispute will be handled in a court or other forum having appropriate jurisdiction, subject to any applicable legal requirements or separate written agreement between Mutin and the customer.

23. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

24. No Waiver

A failure by Mutin to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision later.

25. Entire Agreement

These Terms, together with any applicable quote, invoice, service agreement, proposal, or other written agreement between Mutin and the customer, constitute the agreement governing the applicable Services.

If a specific written agreement conflicts with these Terms, the specific agreement will control to the extent of the conflict.
